These Terms of Sale govern all sales, manufacturing services, quotations, and business transactions between IMOTEE APPARELS PVT. LTD. ("IMOTEE", "we", "our", or "us") and our customers, retailers, distributors, wholesalers, brands, and business partners ("Customer", "you", or "your").
By placing an order or engaging our manufacturing services, you agree to these Terms of Sale.

2. Products and Services
IMOTEE specializes in the design, manufacturing, and supply of premium baby and children's apparel. Our services may include:
Kidswear manufacturing
Private label manufacturing
OEM/ODM apparel production
Custom apparel development
Fabric sourcing
Sampling and prototyping
Bulk production
Packaging solutions
Availability of products and services may vary depending on production capacity and material availability.
3. Quotations
All quotations provided by IMOTEE are subject to:
Product specifications
Fabric availability
Minimum Order Quantity (MOQ)
Production schedule
Currency fluctuations
Applicable taxes
Shipping charges
Unless otherwise stated, quotations remain valid for 30 days from the date of issue.
4. Orders
An order is considered confirmed only after:
Written acceptance by IMOTEE.
Agreement on product specifications.
Approval of samples (where applicable).
Receipt of any required advance payment.
We reserve the right to decline or cancel any order at our discretion.
5. Pricing
All prices are quoted in the agreed currency and are exclusive of applicable taxes, duties, shipping, customs charges, and insurance unless otherwise specified.
Prices may change without prior notice for future orders.
6. Payment Terms
Payment terms will be agreed upon before production begins.
Unless otherwise agreed:
Advance payments may be required before production.
The remaining balance must be paid according to the agreed payment schedule.
Production or shipment may be delayed if payments are overdue.
Accepted payment methods will be communicated during the order confirmation process.
7. Production and Delivery
Estimated production and delivery dates are provided as a guide only.
While we strive to meet agreed timelines, delays may occur due to factors including:
Material shortages
Supplier delays
Force majeure events
Transportation disruptions
Customs procedures
Government regulations
IMOTEE shall not be liable for reasonable delays beyond its control.
8. Shipping and Risk
Unless otherwise agreed in writing:
Shipping costs are the responsibility of the customer.
Risk of loss or damage transfers to the customer upon dispatch or delivery to the shipping carrier.
Customers are responsible for ensuring accurate shipping information.
9. Product Specifications
Customers are responsible for reviewing and approving:
Designs
Artwork
Colors
Sizes
Labels
Packaging
Technical specifications
Production will proceed based on the approved specifications.
Minor variations in color, fabric texture, or finishing may occur due to manufacturing processes and are not considered defects.
10. Inspection and Acceptance
Customers should inspect all goods upon receipt.
Any claims regarding shortages, defects, or damage must be reported in writing within 7 days of delivery.
Failure to notify us within this period will be deemed acceptance of the goods.
11. Returns and Refunds
As most products are manufactured to customer specifications, custom-made or personalized orders are generally not eligible for return or refund unless:
The products contain verified manufacturing defects.
Incorrect items were supplied.
The issue is accepted by IMOTEE after inspection.
Approved refunds, replacements, or corrective actions will be handled at our discretion.
12. Cancellation and Order Changes
Once production has commenced, cancellations or modifications may not be possible.
If accepted, any cancellation or modification may be subject to additional charges for work completed, materials purchased, or production costs incurred.
13. Warranty
IMOTEE warrants that products will be manufactured in accordance with the agreed specifications.
This warranty does not cover:
Improper storage
Normal wear and tear
Incorrect handling
Damage after delivery
Misuse or unauthorized alterations
14. Limitation of Liability
To the maximum extent permitted by law, IMOTEE APPARELS PVT. LTD. shall not be liable for indirect, incidental, special, or consequential damages, including but not limited to:
Loss of profits
Loss of business
Production delays
Business interruption
Loss of goodwill
Our total liability shall not exceed the value of the affected order.
15. Intellectual Property
Any trademarks, logos, artwork, or designs supplied by the customer remain the property of the customer.
The customer warrants that they have the necessary rights and permissions to use such materials and agrees to indemnify IMOTEE against any third-party intellectual property claims arising from their use.
16. Force Majeure
IMOTEE shall not be held responsible for delays or failure to perform due to circumstances beyond our reasonable control, including but not limited to:
Natural disasters
Fire
Flood
Pandemic
War
Government restrictions
Labor disputes
Power outages
Transportation disruptions
17. Governing Law
These Terms of Sale shall be governed by the laws of India.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Malappuram, Kerala, India.
